Corporates
Investigations for companies and executives
A partnership under consideration, a suspected misappropriation, a conflict of interest inside a team: corporate decisions carry money, reputation and liability. RAINBOWNET conducts internal investigations, pre-contractual checks and due diligence for companies, family offices and executives, in Switzerland and abroad, with the discretion such matters demand.
What our work covers
We act at the request of a board, a management team, a legal department or a family office. The work concerns facts: verifying a counterparty before signature, checking declarations, investigating financial irregularities, identifying conflicts of interest, documentary research on a third party, and verification of the statements that party makes about itself.
The business intelligence we practise remains factual: open sources, commercial registers, publications, authorised interviews, observation in public space. We produce no forecasts and no ratings; we establish what can be verified, state plainly what cannot, and keep the two separate throughout the report, without filling gaps by assumption.
From alert to mandate
An internal report, a doubt raised in an audit, a transaction under review: the starting point varies, the method does not. We begin with a scoping meeting with the authorised person, to define the perimeter, identify legal risk and settle what will not be examined.
The written mandate names a single point of contact and sets out deliverables, timetable and confidentiality rules. Where the file is handled by counsel, we work under their instruction, which preserves professional privilege and the procedural strength of the findings if the matter later becomes contentious.
What the company receives
The report sets out a chronology of facts, the material supporting it and the points that remain open. Findings are dated and sourced; hypotheses are identified as such and never presented as conclusions, however plausible they may appear. Each finding states where it comes from, so that a reader can weigh it without taking anything on trust.
We add a reading of the risks observed and, where appropriate, internal control recommendations. The purpose is not to name culprits but to give management a factual basis for deciding, negotiating or instructing its advisers. It substitutes neither for an audit nor for legal advice.
Discretion, independence and limits
A poorly conducted internal investigation exposes a company as much as the conduct under review. We apply proportionate means, keep each step traceable and treat the individuals concerned consistently, in line with employment law and data protection. The same standard applies to every person involved, regardless of seniority or role.
We do not access private messaging, personal accounts or banking records, and we install no surveillance device without a legal basis. Mandates requiring those limits to be crossed are declined, including where they are framed as a simple, routine verification or a harmless internal request. The answer does not vary with the seniority of the person asking.
Process
How we handle this type of mandate
Scoping
A meeting with the authorised person defines the perimeter, identifies legal constraints and separates what belongs to an investigation, to an audit or to legal advice. Nothing is undertaken before that boundary is agreed.
Mandate and governance
The written mandate sets purpose, deliverables, timetable, fee and the recipients of the report. One client-side contact is named, and exchanges remain documented in writing throughout.
Collection and cross-checking
Internal documents provided voluntarily, public registers, open sources, lawful interviews and observation: each element is cross-checked. Information that cannot be verified is set aside or flagged as such.
Report and recommendations
You receive a prioritised report, a chronology, the corresponding annexes and a reading of the risks. A debrief session covers the operational consequences with management or its counsel.
Frequently asked questions
Frequently asked questions
A question specific to your situation? The confidential form lets us answer precisely.
Can an internal investigation concern an employee?
Yes, within a defined framework: objective facts, proportionate means, a traceable process and compliance with employment law and data protection. We recommend involving your legal department or external counsel at the outset, and we never access private messaging or personal accounts.
Do you work under a lawyer's instruction?
Yes, and it is often preferable where the file may become contentious. We then act on the firm's instruction, which sets the perimeter and receives the deliverables. That arrangement preserves professional privilege and the strength of the findings produced.
How long does due diligence on a counterparty take?
For a company with accessible filings, allow one to three weeks. International structures, layered arrangements or jurisdictions with limited transparency extend the timetable. The schedule is fixed in the mandate and revised if the perimeter changes.
What deliverables do we receive?
A written report with a chronology, dated and sourced findings, organised annexes, and a reading of the risks observed with internal control recommendations where relevant. A debrief session is included. The format can be adapted to your counsel's requirements.
Can you guarantee an outcome?
No. An investigation establishes what the facts and available sources allow; it does not produce evidence on demand. At the scoping stage we indicate what appears feasible and what does not, without promising a particular conclusion.
